1. Agreement to Terms

Welcome to Breadcrumb. By accessing or using our Google Business Profile review management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Breadcrumb ("we," "us," or "our"). Please read them carefully.

2. Description of Service

Breadcrumb is a SaaS platform that provides:

• Google Business Profile review management and synchronization
• AI-powered reply generation for customer reviews
• Sentiment analysis and review insights
• Multi-location business management
• Review response workflow and automation
• Analytics and reporting features

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Service. By creating an account, you represent and warrant that you meet these requirements.

3.2 Account Creation

To use Breadcrumb, you must create an account by providing accurate and complete information. You agree to:

• Provide truthful, accurate, and current information
• Maintain and update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Subscription Plans and Billing

4.1 Subscription Tiers

Breadcrumb offers multiple subscription plans with varying AI reply limits and features. Current plans include:

• Free Plan: 10 AI replies per month, basic features
• Monthly Plan: 100 AI replies per month, advanced features
• Quarterly Plan: 350 AI replies per 3 months, advanced features
• Annual Plan: 1,500 AI replies per year, advanced features

4.2 Payment Terms

• Subscription fees are billed in advance on a recurring basis
• Payments are processed through Razorpay, our third-party payment processor
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method for all fees incurred
• Prices are subject to change with 30 days' notice

4.3 Free Trial

We may offer a 14-day free trial for new users. After the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

4.4 Cancellation and Refunds

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of your current billing period
• You will retain access to paid features until the end of the billing period
• No refunds are provided for partial billing periods
• Downgrading to a lower plan takes effect at the next billing cycle

4.5 Usage Limits

Each subscription plan includes a specific number of AI-generated replies per billing cycle. Once you reach your limit, you must upgrade your plan or wait until the next billing cycle to generate additional AI replies.

5. Acceptable Use Policy

5.1 Permitted Use

You may use Breadcrumb only for lawful purposes and in accordance with these Terms. You agree to use the Service to manage legitimate business reviews and customer feedback.

5.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Post fake, fraudulent, or misleading reviews or responses
• Use the Service to harass, abuse, or harm others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated scripts or bots to access the Service
• Resell, redistribute, or sublicense the Service without permission
• Upload viruses, malware, or malicious code
• Interfere with or disrupt the Service or servers
• Violate Google's Terms of Service or API usage policies

5.3 Consequences of Violation

We reserve the right to suspend or terminate your account immediately if you violate these Terms, without refund or prior notice.

6. Google Business Profile Integration

6.1 Authorization

By connecting your Google Business Profile, you authorize Breadcrumb to access your business information, reviews, and related data through Google's APIs. You represent that you have the authority to grant this access.

6.2 Google's Terms

Your use of Google Business Profile features is subject to Google's Terms of Service and API usage policies. You agree to comply with all Google requirements.

6.3 Data Synchronization

We automatically sync your reviews and business data from Google Business Profile. You can disconnect this integration at any time from your account settings.

7. AI-Generated Content

7.1 AI Reply Suggestions

Our AI-powered reply feature generates suggested responses to customer reviews. These suggestions are provided as-is and should be reviewed and edited before posting.

7.2 Your Responsibility

• You are solely responsible for all content you post using our Service
• You must review and approve all AI-generated replies before posting
• We are not liable for the content, accuracy, or appropriateness of AI suggestions
• You agree not to post offensive, defamatory, or inappropriate content

7.3 Third-Party AI Services

AI replies are generated using third-party services (OpenRouter, OpenAI). By using this feature, you acknowledge that review content may be processed by these services in accordance with their terms and privacy policies.

8. Intellectual Property Rights

8.1 Our Rights

Breadcrumb and all related trademarks, logos, and service marks are owned by us. The Service, including its design, features, and functionality, is protected by copyright, trademark, and other intellectual property laws.

8.2 Your Rights

You retain all rights to your business data, reviews, and content. By using our Service, you grant us a limited license to use, store, and process your data solely to provide the Service.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you.

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using Breadcrumb, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee

We do not guarantee that:

• The Service will be uninterrupted, secure, or error-free
• AI-generated replies will be accurate or appropriate
• Defects will be corrected
• The Service will meet your specific requirements

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Breadcrumb and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) content you post through the Service.

12. Termination

12.1 By You

You may terminate your account at any time by deleting your account from the settings page or contacting support.

12.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data after 30 days, except where retention is required by law. Sections that by their nature should survive termination will remain in effect.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on the Service. Your continued use after changes constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and may cancel your account.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

• Entire Agreement: These Terms constitute the entire agreement between you and Breadcrumb
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent. We may assign them freely
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
